Terms of service

Asks provides a customer support platform powered by an AI Agent that you can train on your help center, website, documentation, and other content you provide. The Services may include, among other things:

• An AI Agent that drafts and sends responses to customer conversations
• A shared inbox, workspaces, and team collaboration tools
• Knowledge base ingestion and content synchronization
• Integrations with third-party messaging channels and tools
• Analytics and reporting on support activity

We may add, modify, or remove features of the Services from time to time. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Services.

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that you are not barred from using the Services under the laws of any applicable jurisdiction. The Services are intended for business use and are not directed to individuals under the age of 18.

To use most features of the Services, you must create an account and a workspace. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials confidential and secure
• Be responsible for all activity that occurs under your account and workspace
• Notify us promptly of any unauthorized use of your account or any other security breach

You are responsible for the team members and other users you invite to your workspace, including their compliance with these Terms. The workspace owner is responsible for managing access and permissions for all members of the workspace.

Free trial

New users may be eligible for one 7-day free trial with full access to the limits of the plan selected at checkout. At the end of the trial, you must subscribe to a paid plan to continue using the Services. We reserve the right to modify or discontinue free trials at any time.

Plans and AI credits

We offer paid subscription plans (currently Starter, Business, and Premium) billed on a recurring monthly or yearly basis. Each plan includes a defined allowance of AI credits and other usage limits, as described on our pricing page. Plan features, limits, and prices are subject to change, and the version in effect at the time of your purchase or renewal applies.

Payments and auto-renewal

Payments are processed by our third-party payment processor, Stripe. By subscribing, you authorize us and Stripe to charge your payment method on a recurring basis for the applicable subscription fees. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You are responsible for providing valid, up-to-date payment information.

Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial billing periods, unused AI credits, or downgrades.

Price changes and taxes

We may change our prices upon reasonable notice. Price changes take effect at the start of your next billing period. All fees are exclusive of taxes, and you are responsible for any applicable sales, use, value-added, or similar taxes, other than taxes based on our net income.

Late or failed payments

If a payment fails or is overdue, we may suspend or limit your access to the Services until payment is received. We are not responsible for any data loss or disruption resulting from suspension due to non-payment.

Our AI Agent generates responses based on the content you provide and the inputs it receives. While we strive to provide high-quality output, AI-generated content may be inaccurate, incomplete, or otherwise inappropriate in certain contexts.

• You are responsible for reviewing and configuring how the AI Agent is used in your workspace, including whether responses are sent automatically or require human approval
• You should not rely on AI-generated content as legal, financial, medical, or other professional advice
• You are responsible for the accuracy and appropriateness of content the AI Agent sends to your customers on your behalf

We do not use your data to train general-purpose AI models that benefit other customers. Your data remains private to your workspace, as further described in our Privacy Policy.

"Your Content" means all data, content, and materials you or your users upload, submit, or process through the Services, including knowledge base articles, documents, customer conversations, and customer contact information.

• You retain all ownership rights in Your Content
• You grant us a worldwide, non-exclusive license to host, process, and use Your Content solely to provide and improve the Services for your workspace
• You are responsible for ensuring you have all necessary rights, consents, and permissions to submit Your Content and to allow us to process it, including from your customers and end users
• You are responsible for complying with all applicable laws relating to the collection and processing of customer data, including data protection and privacy laws

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Services let you connect third-party platforms and messaging channels, including WhatsApp, Instagram, and Facebook (provided by Meta), as well as other tools and integrations. Your use of these third-party services is governed by their own terms and policies.

• You are responsible for complying with the terms, policies, and messaging requirements of any third-party platform you connect
• You must obtain and maintain any required permissions, consents, and credentials to connect those platforms to your workspace
• We are not responsible for the availability, accuracy, or reliability of third-party services, and we may modify or discontinue any integration at any time

You agree not to misuse the Services. You will not, and will not permit any user to:

• Use the Services to send spam, unsolicited messages, or communications that violate applicable laws or third-party platform policies
• Upload or transmit content that is unlawful, infringing, defamatory, harassing, or harmful
• Violate the intellectual property, privacy, or other rights of any person
• Attempt to gain unauthorized access to the Services, other accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law
• Use the Services to build a competing product or to train competing AI models
• Resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted

We may investigate and take appropriate action against any suspected violation, including suspending or terminating access.

The Services, including all software, designs, text, graphics, and other materials (excluding Your Content), are owned by Asks or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term.

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

We strive to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We may modify, suspend, or discontinue all or part of the Services at any time, and we will use reasonable efforts to provide advance notice of material changes.

You may stop using the Services and cancel your subscription at any time. We may suspend or terminate your access to the Services if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to us, other users, or third parties.

Upon termination, your right to use the Services will cease. We will make Your Content available for export for a limited period where reasonably practicable, after which we may delete or anonymize Your Content in accordance with our Privacy Policy. Provisions that by their nature should survive termination will survive.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ASKS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Asks and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual property or confidential information.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date, and where appropriate by other means. Changes are effective when posted. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

• Entire agreement: these Terms, together with our Privacy Policy and any order or plan you select, constitute the entire agreement between you and us regarding the Services.
• Severability: if any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure: we are not liable for any failure or delay caused by events beyond our reasonable control.
